Terms of Service

1. Agreement to these terms

These Terms of Service (the “Terms”) are a binding agreement between you (“you,” “your,” or the “business”) and LOKAL (“LOKAL,” “we,” “us”). They govern your access to and use of the LOKAL platform, websites, apps, and related services (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are using LOKAL on behalf of a company, you represent that you are authorized to bind that company.

2. What LOKAL provides

LOKAL is all-in-one software for running a local business. Depending on your plan and settings, the Service may include a website builder and hosting, commission-free online ordering, a point-of-sale (POS) system, an AI phone receptionist, appointment bookings, a loyalty program, SMS notifications, and related analytics and admin tools.

We may add, change, or remove features over time to improve the Service. If we make a material change that significantly reduces core functionality you rely on, we will make reasonable efforts to notify you in advance.

3. Eligibility and your account

You must be at least 18 years old and able to form a binding contract to use LOKAL. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us promptly at security@lokal.business if you suspect unauthorized access.

You are responsible for the users, staff, and team members you invite, and for the roles and permissions you assign them.

4. Subscription, billing, and renewal

Pricing and the $1 first month

New accounts pay $1 for their first month and receive full access during that month. After the first month, your subscription automatically renews at $99.99 per month until you cancel. On top of the flat monthly rate, you pay for the AI minutes you actually use (billed as metered usage at approximately $0.05 per minute), plus any applicable taxes. Prices are in U.S. dollars.

Automatic renewal

Your subscription is a recurring, auto-renewing plan. By subscribing, you authorize us and our payment processor to charge your payment method on file for each billing period, including the flat monthly fee, metered AI usage accrued during the period, and taxes, until you cancel. We may change our prices; if we do, we will give you advance notice and the new price will apply on your next renewal after the notice period.

Payment processing and failed payments

Payments are processed by our third-party payment processor (Stripe). We do not store your full card number. If a charge fails, we may retry it and may suspend or limit paid features until payment succeeds. You are responsible for keeping a valid payment method on file.

Taxes

Stated prices do not include taxes. You are responsible for any sales, use, VAT, or similar taxes associated with your subscription, except for taxes based on our net income.

5. Cancellation and refunds

You can cancel at any time from your account settings or by contacting billing@lokal.business. When you cancel, your plan will not renew again and your paid access continues through the end of the current billing period. Cancelling stops future charges; it does not retroactively refund the current period.

Except where required by law, subscription fees and metered usage charges already incurred are non-refundable, and we do not provide prorated refunds for partial billing periods. If you believe you were charged in error, contact billing@lokal.business and we will review it in good faith.

6. AI phone receptionist and call recording

If you enable the AI phone receptionist, LOKAL answers calls to the number you connect using an automated (AI) voice, and may record and transcribe those calls to take orders, answer questions, and improve accuracy and reliability. The assistant identifies itself as an automated virtual assistant and discloses that the call may be recorded.

Your responsibility for consent and disclosure

Call recording and the use of an automated voice are regulated by law, and the rules vary by state and country (for example, some U.S. states require all parties to consent to recording). You are responsible for ensuring that your use of the AI phone receptionist, including recording, transcription, and any automated-call or robocall rules, complies with the laws that apply to your business and your callers. You are the business the caller is contacting; the disclosures we provide are a tool to help you comply, not legal advice, and do not by themselves guarantee compliance in your jurisdiction. If you are unsure, consult counsel before enabling recording.

AI-generated responses can be imperfect. You are responsible for reviewing and fulfilling orders and for any commitments made during calls handled on your behalf.

7. Online ordering, POS, and payments

LOKAL does not charge a commission on orders placed through your own LOKAL online ordering or POS. Customer payments for those orders are processed by third-party payment processors (such as Square), which charge their own processing fees and have their own terms. You are responsible for connecting and maintaining your payment account.

You — not LOKAL — are the seller of record for products and services you sell. You are solely responsible for your products, prices, menus, inventory, order fulfillment, delivery, refunds to your customers, and for complying with all laws that apply to your business (including food-safety, alcohol, licensing, labeling, consumer-protection, and tax laws). Any delivery links or integrations (for example, DoorDash or Uber Eats) are provided for convenience and are governed by those providers’ own terms.

8. Your content and data

You retain ownership of the content and data you put into LOKAL — your menus, media, business information, and the customer records you collect (“Your Content”). You grant us a limited, worldwide license to host, process, transmit, and display Your Content solely to operate and improve the Service and to provide it to you. You are responsible for having the rights and any necessary consents to the content you upload and the customer data you collect, and for its accuracy.

How we handle personal data is described in our Privacy Policy. For the personal data of your own customers, you are the controller and LOKAL acts as your processor.

9. Acceptable use

You agree not to:

  • Use the Service for anything unlawful, deceptive, or harmful, or to infringe others’ rights.
  • Send unlawful, unsolicited, or non-consented calls, texts, or messages, or violate telemarketing, anti-spam, or do-not-call rules.
  • Upload malware, attempt to breach security, probe or disrupt the Service, or circumvent usage limits or metering.
  • Reverse-engineer, resell, or use the Service to build a competing product, except as permitted by law.
  • Misrepresent the automated nature of the AI assistant where disclosure is required.

We may suspend or terminate accounts that violate these Terms or that create legal or security risk.

10. Third-party services

The Service integrates third-party providers — for example, payment processing (Stripe for subscriptions, Square for your customer card payments), SMS and voice telephony (Twilio), cloud hosting and AI (Google Cloud, Firebase, and Google’s AI models), and optional delivery marketplaces. Your use of those features may be subject to the third party’s terms, and we are not responsible for third-party services. A current list of the main providers we rely on is available in our Privacy Policy.

11. Availability and “as is” disclaimer

We work hard to keep LOKAL reliable, but the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will always be accurate. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, LOKAL and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service and these Terms is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim. These limits apply even if a remedy fails of its essential purpose.

13. Indemnification

You agree to defend and indemnify LOKAL against claims, damages, and costs arising from Your Content, your products and services, your use of the AI phone receptionist and messaging features, or your breach of these Terms or of law.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the “last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.

15. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or create legal or security risk. On termination, your right to use the Service ends; you may export Your Content before termination as described in our Privacy Policy. Sections that by their nature should survive (for example, billing for amounts owed, disclaimers, liability limits, and indemnity) survive termination.

16. Governing law and disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules, and the state and federal courts located in Texas will have jurisdiction, except where applicable law requires otherwise. Nothing in these Terms limits any consumer-protection rights that cannot be waived under the law that applies to you.
